Use case · Corporate M&A

A clean, fast VDR for deals
that don't need legacy enterprise overhead.

The features you expect — watermarked viewing, NDA gating, per-member permissions, SOC 2-class audit log, threaded Q&A. None of the legacy complexity. Pricing that doesn't change when your deal closes.

What's in the room

Everything you expected from your last VDR.
None of the friction.

In-browser PDF viewing — watermarked

Every page of every PDF served inline carries the viewer's email + IP + UTC timestamp, applied server-side via pdf-lib before bytes reach the browser. Reviewers read freely; you have evidence if a draft leaks. Downloads stay un-watermarked so sha256 chain-of-custody holds.

NDA-gated external invites

Counterparty clicks a magic link, reads the rendered NDA, types their full name. Their acceptance is captured immutably — IP, user agent, signature method, frozen HTML of exactly what they saw, timestamp. Hand the receipt to your legal counsel; it stands up on its own.

Per-room-member permissions

Granular toggles for view / download / print / forward, plus access expiry dates per member. Revoke a bidder that exited the process — access ends immediately, their next visit meets a polite refusal, and the revocation itself is recorded in the audit log.

SOC 2-class audit log

Every meaningful action — every view, every download, every NDA acceptance, every member added, every permission flipped — lands in an append-only audit log with field-level diffs. Admin viewer with filters, CSV export, deep links from rows to the resource referenced.

Folder-based document organisation

Hierarchical folders, drag-into-folder, breadcrumb navigation, version history per document, soft-delete + Trash restore. Bulk operations on a multi-select selection. Search across the whole room with wildcard-anywhere queries that scale to tens of thousands of documents.

Threaded Q&A

Buyer asks a question against a specific document. Routed to the right deal-team contact based on stream + priority rules you set once. Threading depth as deep as the conversation needs. Inline status (open / answered / closed) for triage at a glance.

Workspace isolation, end to end

Postgres row-level security at the database level — even a service-role bypass in our own code filters by workspace explicitly. Other firms' deals are invisible to you at the storage layer, not just the UI layer.

Pricing that respects the deal cycle

Cancel mid-deal? Just reach out — no retention call, no "are you sure" emails. We email you a clean data export within 48 hours of cancellation. Pricing tiers stay the same on renewal; no surprise mid-deal price hikes.

Ideal for

Deal teams that have used the
legacy platforms once already.

Mid-market M&A

Deals in the USD 10m–USD 500m range that don't need legacy-enterprise overhead or weeks of setup before the first document loads.

Cross-border emerging-market deals

Acquirers in EU / UK looking at African or Latin American targets — buyer and seller benefit from the same regional latency profile we picked for our infrastructure.

Asset disposals + carve-outs

Single-asset sales, divisional carve-outs, distressed dispositions. Open a fresh room per process; close it when the deal does.
